Representative matters
- Counseled a first-time sponsor in the formation of a venture capital fund, including structuring considerations, preparation of core fund documents (LPA, PPM, subscription materials), and guidance on Investment Company Act exemptions and securities law compliance.
- Counseled a non-U.S. investment manager in its expansion into the United States through the structuring and launch of its first U.S.-focused private fund, including entity formation, offering documentation, and regulatory positioning.
- Advised a California-based asset manager with approximately $2.4 billion in assets under management on investor onboarding and regulatory compliance, including review and enhancement of subscription agreements, anti-money laundering procedures, and multi-year blue sky compliance analysis based on investor sales activity.
- Advised clients on secondary transfers of restricted securities, including structuring resale transactions in reliance on Rule 144A, Section 4(a)(1), and the ‘manual exemption,’ with analysis of transfer restrictions, purchaser qualifications, and supporting documentation.
- Represented the sell-side in an approximately $800 million strategic acquisition of a technology company by a global supply chain software platform, including targeted review of transaction agreements and post-closing support on covenant compliance and integration-related obligations.
